Terms of Use

Acceptance

These Terms of Use form a binding agreement between you and the Publisher. If you do not agree, do not use the App. If you use the App on behalf of a household, business or organization, you confirm you have authority to bind it.

What the App is

Udibro Movesale is a personal inventory and tracking tool for items you intend to sell before a move or while decluttering. It lets you record items, quantities and USD prices, mark items available, reserved or sold, note buyer interest and contacts, follow each transaction and review completed sales.

The App is not a marketplace. It does not list your items publicly, match you with buyers, process payments, hold funds, ship goods or act as a party to any sale. Every sale you record happens between you and your buyer, outside the App.

License

Subject to these terms, the Publisher grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, in accordance with the rules of the app store you obtained it from.

You may not copy, modify, reverse-engineer, decompile, redistribute, sublicense, rent or sell the App or any part of it, except where applicable law expressly allows it.

Your inventory and content

Everything you enter into the App (item descriptions, prices, buyer notes, transaction history) is your content. You own it. It is stored on your device, and the Publisher does not receive, access or claim any rights in it. See the Privacy Policy.

You are responsible for your content, including keeping it accurate, backing it up, and handling any buyer's personal details lawfully and respectfully.

Your sales are your responsibility

You alone are responsible for the items you sell, including their condition, legality, description, pricing, any applicable taxes, and compliance with local laws on second-hand sales. The App's status labels, summaries and totals are record-keeping aids based only on what you enter. They are not financial, tax or legal advice, and they are not a guarantee that any sale has occurred or been paid.

Acceptable use

You agree not to use the App to:

• record or plan the sale of stolen, counterfeit, prohibited or unlawful items;
• store another person's information for harassment or any purpose unrelated to a sale;
• interfere with, damage or attempt to bypass any part of the App;
• violate any applicable law or the terms of your device's app store.

Intellectual property

The App, including its name, design, code and graphics, is owned by the Publisher and protected by copyright and other laws. These terms do not transfer any ownership to you. “Udibro Movesale” and associated marks may not be used without written permission.

Updates and availability

We may update, change or discontinue the App or any feature at any time. Because your data is stored locally, discontinuation of the App does not delete your data, but future OS updates may affect compatibility. We are not obliged to provide updates or support, though we try to answer questions sent through the Support page.

Disclaimer of warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. We do not warrant that the App will be error-free, uninterrupted, or that your data will never be lost. Keep your own backups.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PUBLISHER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SALES, LOST DATA OR DISPUTES WITH BUYERS, ARISING FROM YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP, OR TEN US DOLLARS (USD 10) IF YOU PAID NOTHING. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnity

You agree to indemnify and hold the Publisher harmless from claims, losses and expenses (including reasonable legal fees) arising from your sales, your content, your dealings with buyers, or your breach of these terms.

Termination

You may stop using the App at any time by deleting it. We may terminate your license if you breach these terms. Sections 04, 05, 07, 09, 10, 11 and 14 survive termination.

App store terms

If you obtained the App through the Apple App Store or Google Play, the store's terms also apply. The store operator is a third-party beneficiary of these terms with respect to the App, has no obligation to provide support, and is not responsible for any claim relating to the App.

Governing law and changes

These terms are governed by the laws of the Publisher's place of residence, without regard to conflict-of-law rules, and any dispute will be brought in the courts of that place unless mandatory consumer law gives you the right to another forum.

We may revise these terms. The effective date at the top will change, and the updated terms will be posted at this address. Continued use of the App after a change means you accept the new terms.
